Terms & Conditions
1. Definitions
- Client: The individual or entity requesting localization services as specified in the quotation.
- Company: The organization on whose behalf the Client is acting, as specified in the quotation.
- DTP: Desktop Publishing – the process of formatting and laying out localized content.
- Error: A mistake that changes or distorts the meaning of the source content, such as mistranslation, omission, or grammatical issue that may confuse or mislead the reader. These are considered objective and subject to correction.
- Project: The localization effort as described in the quotation.
- Source Content: The original materials to be localized.
2. Contract Authority and Applicability
If a contract has been signed, the terms and conditions as per the contract apply. If no contract has been signed, the following terms and conditions apply upon approval. The Client Name (as specified in this quotation) is acting on behalf of the Company (as specified in this quotation) and confirms having the authority to enter into this agreement.
3. Payment Terms
For all clients, the project will be started once either: (a) a credit check has been completed for new clients, or (b) for projects over $3,000, work can commence upon receipt of a 50% deposit. All final payments are due within 30 days of delivery. The term of 30 days is not delayed due to any client feedback received.
Late Payment Charges
Should the payment be late, Compass Languages reserves the right to apply a monthly charge of 1.5% until the account is settled.
4. Project Review and Revisions
A client can review and suggest changes within 10 business days of project delivery. The client accepts that if any of the assumptions of the project change as described in this quote, costs and delivery dates may be affected.
5. Quality Standards and Error Correction
Compass Languages is committed to delivering high-quality localized content. If a quality issue is identified, Compass Languages will review and, if necessary, correct the content with best possible expediency.
Definition of Errors
An error is defined as per the Definitions section above.
Style-Related Changes
Style-related changes, such as wording preferences, tone adjustments, or alternate phrasing, are not considered errors. While stylistic input is valued, it does not constitute grounds for free revision unless previously agreed upon in the project scope.
Payment and Quality Concerns
Once corrections have been implemented in line with the above criteria, quality concerns may not be used as a reason to delay or withhold payment.
6. Project Modifications
If the client requests changes to glossaries, tools, workflows, assigned resources, source content, or other preferences after the project has started, additional charges may apply to reflect the extra time and effort required to adjust the process.
7. Liability and Responsibility
The client remains responsible for the final use of the localized material and for any direct or indirect costs that may result from undetected or detected errors in the localized content. Compass Languages assumes no liability for any direct or indirect impact resulting from errors, whether identified or not.
8. Turnaround Times
The time stated begins once all clarifications about the project and receipt of the final source content have been gathered from the client. Also, any projects received after 12pm EST will start the following business day.
9. Minimum Charges and Project Scope
For low-volume tasks, segmented deliveries, or small-scale requests, Compass Languages reserves the right to apply a minimum fee per language to cover project handling and processing costs. Minimum charges also apply for jobs involving DTP or requiring additional coordination. The minimum charge for an individual project is set at $245.00 to cover all handling and production-related costs. The minimum charge of $245.00 is applied unless otherwise stipulated by an existing client agreement.
10. Rush Job Surcharges
Projects requiring delivery in less than the standard turnaround time may be subject to rush charges. Standard rush charges range from 25–50% of the base project cost for moderate urgency, and 50–100% for extreme urgency, depending on the resource availability required to meet the requested deadline.
11. Data Protection and Privacy Compliance
Compass Languages is a certified SOC 2 Type 1 company committed to protecting client data and complies with applicable data protection regulations including GDPR. All client materials and information will be handled confidentially and securely throughout the project lifecycle.
12. Cancellation Policy
If a client cancels a project after work has commenced, they remain liable for all work completed up to the point of cancellation, plus any costs incurred for project setup and resource allocation.
